AGREEMENT TO THESE TERMS
White Passage is a brand operated by Minieri & Company LLC, a South Carolina limited liability company (“White Passage,” “Minieri & Company,” “we,” “us,” or “our”).
We operate WhitePassage.com (the “Site”) and may offer related content, resources, assessments, books, digital materials, programs, consultations, educational services, communications, and other products or services that link to these Terms of Use (collectively, the “Services”).
These Terms of Use constitute a legally binding agreement between you and Minieri & Company LLC concerning your access to and use of the Services.
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you should not use the Services.
You must be at least 18 years old to use the Services.
We may update these Terms from time to time. Changes become effective when posted unless otherwise stated. Your continued use of the Services after an updated version is posted constitutes acceptance of the revised Terms.
1. ABOUT WHITE PASSAGE
White Passage provides educational resources and structured frameworks intended to help adults think more clearly about significant life disruption, disorientation, difficult decisions, loss, betrayal, career or business disruption, identity questions, faith and purpose, and related life circumstances.
White Passage is a non-clinical educational and decision-support framework.
The Services may include written content, videos, assessments, worksheets, books, programs, conversations, educational materials, or other resources intended to support reflection, clarity, orientation, and decision-making.
White Passage does not make decisions for you and does not guarantee any particular outcome.
2. NOT THERAPY, MEDICAL CARE, OR PROFESSIONAL ADVICE
White Passage is not psychotherapy, counseling, mental-health treatment, medical care, psychiatric treatment, legal advice, financial advice, or another licensed professional service unless expressly stated otherwise in a separate written agreement with an appropriately licensed professional.
Nothing provided through the Site or Services should be interpreted as:
- A diagnosis
- Mental-health treatment
- Medical advice
- Legal advice
- Financial or investment advice
- Crisis intervention
- A substitute for professional care
- A directive telling you whether to remain in or leave a marriage or relationship
- A directive telling you whether to leave a career, close a business, abandon a faith tradition, pursue litigation, or make another major life decision
White Passage may help you examine circumstances, assumptions, options, evidence, values, and direction. You remain responsible for your decisions.
You should consult qualified professionals when your circumstances require medical, psychological, legal, financial, safety-related, or other specialized expertise.
If you are experiencing an emergency, immediate danger, or a serious mental-health crisis, do not rely on White Passage. Contact appropriate emergency services or a qualified professional.
3. NO GUARANTEE OF OUTCOMES
Life decisions involve uncertainty.
We do not guarantee that using White Passage will result in:
- Emotional recovery
- Reconciliation
- Divorce avoidance
- Relationship repair
- Career success
- Business success
- Financial recovery
- Improved health
- Resolution of a faith crisis
- Legal success
- A particular personal outcome
- Greater happiness
- Any specific result
Examples, stories, Passage Records, testimonials, illustrations, case studies, or other examples are provided for educational purposes and do not guarantee that your circumstances will produce similar results.
You are responsible for evaluating whether information provided through the Services is appropriate for your circumstances.
4. INTELLECTUAL PROPERTY RIGHTS
Unless otherwise indicated, the Site and Services, including their design, text, frameworks, concepts, graphics, illustrations, photographs, videos, audio, worksheets, assessments, downloads, software, branding, trademarks, logos, and other materials (collectively, the “Content”), are owned by or licensed to Minieri & Company LLC.
The Content is protected by applicable copyright, trademark, and other intellectual-property laws.
This includes, where applicable, proprietary White Passage concepts, terminology, frameworks, diagrams, processes, teaching structures, written materials, and brand assets.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use.
Unless we expressly authorize otherwise in writing, you may not:
- Reproduce substantial portions of the Content
- Republish the Content
- Sell or sublicense the Content
- Create competing products from the Content
- Copy or distribute assessments, worksheets, frameworks, or paid materials
- Upload paid or proprietary materials to public repositories
- Use our materials to train, develop, or populate another commercial program or service
- Remove copyright, trademark, or proprietary notices
- Represent our Content as your own
- Use White Passage branding without authorization
Ordinary quotation, commentary, review, and other uses permitted by applicable law are not prohibited by these Terms.
All rights not expressly granted are reserved.

5. WHITE PASSAGE TRADEMARKS
“White Passage,” associated logos, slogans, program names, framework names, and other brand identifiers may be trademarks or proprietary marks of Minieri & Company LLC.
Nothing in these Terms grants you ownership of or permission to use our trademarks except as expressly authorized in writing or permitted by law.
6. INFORMATION YOU SUBMIT
You may provide information through forms, questionnaires, assessments, emails, consultations, surveys, feedback requests, or other interactions with the Services.
You retain ownership of the personal content and information you submit.
By submitting information, you give us permission to receive, store, process, and use that information as reasonably necessary to:
- Provide the requested Service
- Respond to you
- Administer your relationship with us
- Maintain business records
- Improve our Services
- Fulfill legal obligations
Our handling of personal information is also governed by our Privacy Policy.
Feedback and Suggestions
If you voluntarily provide suggestions, ideas, or feedback about White Passage itself, you agree that we may use that feedback to improve or develop the Services without owing compensation to you.
This does not mean that we own your personal story, private correspondence, assessment responses, or other personal information merely because you communicated it to us.
7. PERSONAL AND SENSITIVE INFORMATION
White Passage deals with subjects that may involve deeply personal circumstances.
You may voluntarily provide information concerning relationships, betrayal, trauma, career loss, health-related disruption, religion or faith, family circumstances, identity, financial difficulty, or other private matters.
Please use reasonable judgment when deciding what information to submit electronically.
White Passage is not a medical provider, mental-health provider, law firm, or other regulated professional service simply because personal or sensitive information is submitted to us.
Unless we expressly agree otherwise in writing, you should not use the Services to transmit information that requires a particular regulated form of confidentiality or security.

8. ACCOUNTS AND REGISTRATION
Certain Services may require registration or creation of an account.
If you create an account, you agree to:
- Provide accurate information
- Maintain current information
- Protect your login credentials
- Notify us if you believe your account has been compromised
- Accept responsibility for activity occurring through your account to the extent permitted by law
We may suspend or terminate accounts that violate these Terms, are used fraudulently, or interfere with the Services.
9. PURCHASES AND PAYMENTS
White Passage may offer books, digital materials, programs, consultations, subscriptions, memberships, assessments, or other products and services for purchase.
When making a purchase, you agree to provide accurate billing and payment information.
Payments may be processed through third-party payment processors such as Stripe or other providers.
Prices are displayed in U.S. dollars unless otherwise stated.
Applicable taxes may be added when required by law.
We reserve the right to:
- Change prices
- Correct pricing errors
- Refuse or cancel fraudulent or erroneous transactions
- Limit availability of products or Services
Any additional terms displayed at checkout or contained in a separate service agreement become part of your purchase agreement.
10. REFUNDS, CANCELLATIONS, AND SUBSCRIPTIONS
Refund, cancellation, subscription, and renewal terms may vary depending on the product or Service purchased.
The terms presented:
- On the applicable sales page,
- During checkout,
- In an order form, or
- In a separate written service agreement
will govern that purchase.
If a Service renews automatically, the applicable checkout or enrollment terms will disclose the billing frequency and cancellation method.
Nothing in these Terms overrides rights that applicable law requires us to provide.

11. PROHIBITED USES
You may not use the Services to:
- Violate applicable law
- Commit fraud
- Impersonate another person
- Gain unauthorized access to accounts or systems
- Interfere with Website security
- Introduce malware or malicious code
- Circumvent access controls
- Scrape or systematically extract Content without authorization
- Build an unauthorized database from our Content
- Reproduce proprietary materials for commercial use
- Harass, threaten, or abuse another person
- Submit unlawful or intentionally harmful material
- Misrepresent your relationship with White Passage
- Use our Content to create a substantially competing commercial product
- Attempt to reverse engineer proprietary software associated with the Services where prohibited by law
- Interfere with the proper operation of the Services
We may restrict or terminate access for conduct that violates these Terms.
12. THIRD-PARTY WEBSITES AND SERVICES
The Services may contain links to or integrations with third-party websites or services, including payment processors, scheduling tools, video platforms, social-media platforms, booksellers, email platforms, or other technology providers.
We do not control those third parties.
Their services are governed by their own terms, privacy policies, and practices.
A link or integration does not necessarily mean that we endorse every statement, product, service, or policy of the third party.
You use third-party services at your own discretion.
13. PRIVACY AND COOKIES
Your use of the Services is also subject to our:

- Cookie Policy
Those policies explain how Minieri & Company LLC may collect, use, disclose, and protect information associated with WhitePassage.com.
The Services are operated from the United States.
14. SERVICE AVAILABILITY
We may change, update, suspend, discontinue, remove, or modify portions of the Services at any time.
We do not guarantee that:
- The Site will always be available
- Every feature will remain available
- Content will always remain unchanged
- Errors will never occur
- Third-party services will remain operational
We may temporarily interrupt access for maintenance, security, technical issues, or other operational reasons.
15. ACCURACY OF INFORMATION
We make reasonable efforts to provide useful and accurate information.
However, information may occasionally contain errors, omissions, outdated information, or inaccuracies.
We reserve the right to correct or update Content without prior notice.
White Passage materials frequently address complex human circumstances. General information cannot account for every individual's facts, history, risks, relationships, legal situation, medical condition, or personal circumstances.
You remain responsible for evaluating information before acting upon it.
16. DISCLAIMER OF WARRANTIES
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE, CONTENT, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
MINIERI & COMPANY LLC DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LEGALLY BE DISCLAIMED.
WE DO NOT WARRANT THAT THE SERVICES WILL:
- BE ERROR-FREE,
- BE UNINTERRUPTED,
- MEET EVERY USER'S NEEDS,
- PRODUCE A PARTICULAR RESULT, OR
- PROVIDE A COMPLETE OR DEFINITIVE ANSWER TO A PERSONAL SITUATION.
SOME JURISDICTIONS DO NOT PERMIT CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THESE PROVISIONS MAY NOT APPLY TO YOU.
17. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, MINIERI & COMPANY LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.
THIS INCLUDES, WHERE PERMITTED BY LAW, LOSS ARISING FROM:
- RELIANCE ON INFORMATION
- LOSS OF DATA
- BUSINESS INTERRUPTION
- LOST PROFITS OR REVENUE
- THIRD-PARTY SERVICES
- PERSONAL DECISIONS MADE USING THE SERVICES
- UNAUTHORIZED ACCESS TO SYSTEMS
- INTERRUPTION OF WEBSITE AVAILABILITY
TO THE EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING FROM A PAID SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO MINIERI & COMPANY LLC FOR THE PARTICULAR PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
FOR FREE SERVICES, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Nothing in these Terms limits liability that cannot legally be limited or excluded.
18. INDEMNIFICATION
To the extent permitted by law, you agree to indemnify and hold harmless Minieri & Company LLC and its owners, officers, employees, contractors, agents, and affiliates from third-party claims arising from:
- Your unlawful use of the Services
- Your violation of these Terms
- Your infringement of another person's rights
- Content you submit in violation of law or another person's rights
We reserve the right to assume control of the defense of a matter subject to indemnification, and you agree to reasonably cooperate with that defense.
19. TERMINATION
These Terms remain effective while you use the Services.
We may suspend or terminate access to the Services if we reasonably believe you:
- Violated these Terms
- Engaged in fraud or illegal activity
- Misused the Services
- Threatened the integrity or security of the Site
- Infringed our intellectual-property rights
Termination does not eliminate obligations or rights that by their nature should survive termination, including intellectual-property protections, limitations of liability, dispute provisions, and payment obligations already incurred.
20. ELECTRONIC COMMUNICATIONS
By visiting the Site, completing forms, purchasing Services, or communicating with us electronically, you consent to receiving applicable notices and communications electronically.
Electronic agreements, notices, disclosures, confirmations, and records may satisfy legal requirements that communications be in writing, to the extent permitted by law.
Marketing communications remain subject to applicable consent and unsubscribe requirements.
21. SMS COMMUNICATIONS
If White Passage offers SMS or text-message communications and you voluntarily opt in, message and data rates may apply.
Message frequency may vary.
You may generally opt out of marketing text messages by replying STOP.
Consent to receive marketing text messages is not a condition of purchasing White Passage products or Services unless expressly permitted by law.

22. GOVERNING LAW
These Terms and your use of the Services will be governed by the laws of the State of South Carolina, without regard to conflict-of-law principles, except where applicable law requires otherwise.
23. INFORMAL DISPUTE RESOLUTION
Before initiating formal legal proceedings concerning a dispute arising from these Terms or the Services, you and Minieri & Company LLC agree to make a reasonable good-faith effort to resolve the dispute informally.
The party raising the dispute should provide written notice describing the dispute.
The parties will then have at least 30 days to attempt to resolve the matter informally.
24. BINDING ARBITRATION
Except for disputes excluded below, unresolved disputes arising from or relating to these Terms or the Services will be resolved through binding arbitration to the extent permitted by law.
BY AGREEING TO ARBITRATION, THE PARTIES UNDERSTAND THAT THEY ARE GENERALLY WAIVING THE RIGHT TO HAVE THE DISPUTE DECIDED BY A JUDGE OR JURY IN COURT.
Arbitration will be conducted under the applicable rules of the American Arbitration Association (AAA).
Where consumer arbitration rules apply, those rules will govern applicable fees and procedures.
Unless applicable law or AAA rules require otherwise, arbitration will take place in Charleston County, South Carolina, or may be conducted remotely where appropriate.
Nothing in this section prevents either party from seeking appropriate relief in a small-claims court where the claim qualifies.
25. ARBITRATION EXCEPTIONS
The arbitration requirement does not apply to claims where applicable law prohibits mandatory arbitration or, to the extent legally permissible, to disputes primarily concerning:
- Intellectual-property ownership or infringement
- Unauthorized access or misuse of systems
- Theft or piracy
- Requests for temporary or injunctive relief necessary to prevent immediate harm
If a dispute is properly heard in court rather than arbitration, the parties consent to jurisdiction and venue in the appropriate state or federal courts serving Charleston County, South Carolina, except where applicable law requires another venue.
26. CLASS-ACTION WAIVER
TO THE EXTENT PERMITTED BY LAW, DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS.
Neither party will seek to have a dispute heard as a class action, collective action, or representative action except where applicable law provides otherwise and prohibits waiver of that right.
27. CALIFORNIA RESIDENTS
California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs regarding unresolved consumer complaints.
Nothing in these Terms limits rights provided under applicable California law.
28. SEVERABILITY
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the greatest extent legally permissible or severed from the Terms.
The remaining provisions will remain in effect.
29. WAIVER
Our failure to enforce a provision of these Terms does not waive our right to enforce that provision later.
A waiver concerning one circumstance does not constitute a continuing waiver.
30. ASSIGNMENT
You may not assign your rights or obligations under these Terms without our prior written consent.
Minieri & Company LLC may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, transfer of the White Passage business, or similar transaction.
31. ENTIRE AGREEMENT
These Terms, together with applicable policies, checkout terms, order forms, and written agreements expressly incorporated by reference, constitute the agreement between you and Minieri & Company LLC regarding the applicable Services.
If a separate written agreement for a particular White Passage service conflicts with these general Terms, the more specific written agreement will govern that service to the extent of the conflict.
